These Terms and Conditions govern all contracts between FutureHorizons UG (haftungsbeschränkt), trading as FasCore Management & Consulting, Alban-Berg-Str. 11, 85049 Ingolstadt (Service Provider) and its clients (Client). Conflicting client terms apply only with explicit written consent.
A contract is formed only upon written order confirmation or commencement of service delivery. Offers are non-binding. Services include: business consulting, interim management, digital transformation, professional network referrals, business addresses/mail, and technical services. Sub-contractors may be engaged.
Fees are as agreed in the individual quotation, plus applicable VAT. Invoices are due within 14 days without deduction. Statutory default interest applies (§ 288 German Civil Code). Advance payments may be required for longer projects.
The client shall provide all required information, documents and access in a timely manner. Additional costs arising from insufficient cooperation are charged to the client.
Both parties treat all confidential information strictly confidential and use it only for contract fulfilment. This obligation survives termination. Data is processed in accordance with GDPR and our Privacy Policy.
The Service Provider is liable for culpable breaches of material contractual obligations, limited to foreseeable, typical contract damages. Liability is excluded for business decisions based on consulting services, acts of referred third parties, and indirect damages. Exceptions: wilful misconduct, gross negligence, personal injury.
All created documents and work results remain the property of the Service Provider until full payment. Upon payment, the client receives a simple non-transferable right of use for the agreed purpose.
Project contracts end upon completion of the agreed services. Ongoing contracts (e.g., business address services) may be terminated by either party with one month's notice to month-end. The right to extraordinary termination for cause remains unaffected.
German law applies, excluding UN Sales Law. Jurisdiction is Ingolstadt for commercial entities and public-law institutions. Invalid provisions do not affect the validity of remaining terms. Amendments require written form.
